1. Introduction and Binding Acceptance

Welcome to The Gaming Nest ("Platform", "Website", "Application"). These Terms and Conditions ("Terms", "Terms of Service", "Agreement") constitute a legally binding contract between you ("User", "you", "Second Party") and The Gaming Nest, including all its affiliated entities, operators, partners, successors, and assigns ("Company", "Platform", "we", "us", "First Party"). This Agreement governs your entire relationship with the Platform and applies to all your interactions with it.

By accessing or using any part of our services — whether as a registered user or visitor, via any device or medium — you expressly and without reservation acknowledge that you: (a) have read and fully understood these Terms, (b) agree to be bound by all their provisions without exception, (c) possess full legal capacity to enter into this Agreement, and (d) have not been subject to any coercion or duress in accepting them. If you do not agree to any provision of these Terms, you must immediately cease using the Platform and refrain from accessing it in any manner.

These Terms take effect from the moment of your first access to the Platform or use of any of its services. Your continued use following any update or modification to these Terms — whether or not you were notified of the modification — constitutes automatic and unconditional acceptance of the updated version. The Company reserves its right to modify these Terms at any time at its sole discretion, and no user consent is required for any modification to take effect.

2. Definitions and Terminology

For the purposes of this Agreement, the following definitions and terminology apply to all provisions contained herein:

• "Intellectual Property": All copyrights, trademarks, patents, trade secrets, design rights, domain names, logos, designs, code, and databases associated with the Platform.
• "Third Party": Any person, entity, or service other than the User and the Company, including payment providers, cloud service providers, and social networks.
• "Force Majeure": Any event beyond the reasonable control of the Company, including natural disasters, pandemics, wars, cyberattacks, and infrastructure outages.
• "Personal Data": Any information relating to an identified or identifiable natural person, as defined by applicable data protection laws.

3. Identity of the Operating Legal Entity

The Platform is owned and operated by The Gaming Nest, a legally registered entity under applicable laws. All legal and business communications must be directed to:

The Platform and all its features, content, tools, interfaces, source code, databases, algorithms, and organizational structure are the exclusive property of the Company or legally licensed to it, fully protected under international and local copyright and intellectual property laws. No party may claim ownership of or affiliation with any Platform element without formal written authorization issued by Company management. Any unauthorized use of Platform elements exposes the violator to civil and criminal liability.

4. Platform Vision and Scope of Services

The Gaming Nest is a professional platform dedicated to empowering game developers and creators worldwide, through a comprehensive digital ecosystem supporting innovation, collaboration, and professional growth. Our current and future services include — but are not limited to — the following:

• Project Showcasing: Publishing and displaying game development projects, art assets, and professional portfolios.
• Professional Networking: Connecting developers, designers, artists, writers, and other game industry specialists.
• Virtual Studios: Creating and managing digital teams for collaborative game development projects.
• Creative Competitions (Game Jams): Organizing and participating in motivational game development competitions.
• Educational Content and Training: Live and recorded courses across various game industry disciplines.
• Talent Marketplace and Employment: Posting job opportunities and applying for positions in the gaming and tech industry.
• Articles and Blogs: Publishing and sharing knowledge-based, technical, and industry news content.
• Galleries and Albums: Showcasing artwork and visual content in dedicated digital galleries.
• Follow and Social Interaction System: Following users and engaging with their content.
• Notifications and Alerts: Comprehensive in-platform and push notification system.
• Verification and Badge System: User identity verification and recognition badges for distinguished contributors.
• Any additional services added in the future at the Platform management's discretion.

All services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Platform bears no responsibility for service interruptions, technical errors, data loss, or any damages arising from reliance on published content. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

5. Eligibility and Registration

By using the Platform and registering on it, you represent and warrant that you meet all of the following eligibility requirements:

• You must be at least 13 years old to use the Platform. If under 18, written parental or legal guardian consent is required before creating an account or conducting any financial transaction.
• You must provide accurate, complete, truthful, and up-to-date information during registration, including your full real name, a valid and active email address, and any other required information. Providing misleading or falsified information constitutes a serious violation of these Terms.
• You bear full responsibility for maintaining the confidentiality of your account credentials (username and password) and for all activities occurring under your account, whether or not you are aware of them.
• You must immediately notify the Platform at info@thegamingnest.com if you become aware of or suspect any unauthorized use of your account or any security breach.
• Creating multiple, fake, or impersonation accounts is strictly prohibited. Discovery of any duplicate or fake account will result in immediate termination of all associated accounts.
• Using the Platform for any illegal purpose or activity prohibited under applicable local or international laws is forbidden.
• Sharing your account credentials with any other person or allowing any third party access to your account is prohibited.
• We reserve the absolute right to refuse any registration request or suspend or terminate any account at any time without the need to provide reasons or justification.
• If registering on behalf of an entity or organization, you represent that you are legally authorized to agree to these Terms on behalf of that entity.

6. User Obligations and Conduct

By using the Platform, you commit to adhering to the following conduct rules. Any violation may result in immediate action including warning, access restriction, account suspension, permanent termination, or legal proceedings:

• Maintain mutual respect and professional, courteous conduct with all community members at all times and across all communication channels on the Platform.
• Publishing, sharing, or transmitting any offensive, discriminatory, racist, sexual, threatening, misleading, or hate/violence/terrorism-inciting content or any illegal activity is prohibited.
• Publishing false, misleading, or deceptive information intended to deceive other users or influence their decisions is prohibited.
• Absolutely respect others' intellectual property rights — including copyrights, trademarks, patents, and trade secrets.
• Claiming authorship of others' work or ownership of content you do not hold full legal rights to is prohibited.
• Using the Platform for spam, unauthorized marketing messages, commercial solicitations, chain letters, or pyramid schemes is prohibited.
• Attempting to hack Platform systems, servers, or databases, exploiting any security vulnerability, or causing service disruption by any means is prohibited.
• Using automated tools (bots, scrapers, crawlers, spiders) to interact with the Platform, harvest data, or create automated accounts without explicit written permission from Platform management is prohibited.
• Attempting to access other users' accounts or private data by any means is prohibited.
• Circumventing any security or technical measures implemented on the Platform or attempting to bypass imposed restrictions is prohibited.
• Immediately report any content or behavior that violates these Terms through available official channels or via info@thegamingnest.com.
• Using the Platform in a manner that damages or may damage the Platform's reputation, or that disrupts or excessively burdens its infrastructure, is prohibited.
• Any violation of these obligations may result in immediate account termination and appropriate legal action to protect the rights of the Platform and its users.

7. Intellectual Property and Platform Rights

All Platform elements — including but not limited to: the The Gaming Nest name, logos, registered and unregistered trademarks, designs, interfaces, icons, source and compiled code, text, graphics, animations, algorithms, data models, database structure, APIs, and documentation — are the exclusive property of the Platform or legally licensed to it.

All these elements are protected under international and local copyright and intellectual property laws, including the Berne Convention for the Protection of Literary and Artistic Works and the TRIPS Agreement. The following actions are strictly prohibited without prior explicit written permission from Platform management:

• Copying or reproducing any part of the Platform or its content, whether in whole or in part.
• Modifying, adapting, translating, or creating derivative works from any Platform element.
• Distributing, transferring, licensing, or selling any content or element belonging to the Platform.
• Reverse-engineering, disassembling, or decompiling the Platform's source code or algorithms.
• Removing, modifying, or obscuring any copyright notices, trademarks, or proprietary markings.
• Using any Platform element in commercial or competitive projects without a license.
• Framing or deep linking to any part of the Platform without permission.
• Any violation of intellectual property rights exposes the violator to full legal liability, including financial damages and criminal prosecution where applicable.

8. User-Submitted Content License

Regarding content uploaded or published by users on the Platform (projects, images, videos, text, artwork, comments, messages, and any other form of content), the following provisions apply:

• The user retains original ownership rights to content they upload, provided they are the legitimate owner of those rights.
• By uploading any content to the Platform, you grant The Gaming Nest a worldwide, non-exclusive, irrevocable, perpetual, fully royalty-free, transferable, assignable, and sublicensable license — to use, display, distribute, modify, copy, reproduce, publish, and embed your content by any means and through any medium.
• This license includes — but is not limited to — using the content for Platform operations, service improvement, promotion and marketing across all channels, analytics, and research.
• This license remains in effect even after content deletion or account cancellation, with respect to uses and copies made prior to deletion or cancellation.
• You are solely responsible for creating backups of your content — the Platform bears no responsibility for loss or damage to uploaded content.
• The Platform bears no responsibility for the accuracy, quality, legality, or suitability of user-generated content.
• We retain the full right to review, modify, remove, or block any content that violates these Terms or that we deem inappropriate — without prior notice or compensation.
• We reserve the right to fully and immediately cooperate with legal and governmental authorities regarding any content that violates the law.

9. Prohibited Content

In addition to the general conduct obligations, the following types of content are specifically prohibited from being published, uploaded, or shared on the Platform:

• Content that infringes the intellectual property rights of any third party, including copyrighted images, music, code, and text.
• Content containing personal information of third parties without their explicit consent (such as addresses, phone numbers, and private photos).
• Pornographic, sexually explicit or suggestive content, or content that exploits minors in any form.
• Content promoting violence, terrorism, extremism, or illegal activities.
• Content containing malicious software (viruses, trojans, ransomware, or any malicious code).
• Fraudulent, misleading content, or content intended for phishing or social engineering.
• Content that violates applicable local or international laws in any jurisdiction.
• Content containing hate speech or discrimination based on race, gender, religion, disability, orientation, or any other protected characteristic.
• Any content that Platform management determines to be inappropriate or harmful to the Platform community — the decision is final and not subject to appeal.

10. Subscriptions and Financial Transactions

Some advanced services and features may require subscription fees, one-time payments, or recurring charges. The following provisions apply to all financial transactions through the Platform:

• All financial transactions are processed via secure, third-party certified payment gateways. We do not store or retain your card data on our servers.
• All prices displayed on the Platform include applicable taxes unless explicitly stated otherwise.
• Paid fees are not automatically refundable — any refund request is subject to Platform management's discretion in accordance with the approved Refund & Cancellation Policy published on the Platform.
• In case of billing errors or incorrect charges, please contact us within 14 calendar days of the transaction date at info@thegamingnest.com with clear proof.
• We reserve the right to modify subscription and paid service prices with at least 30 days' prior notice via registered email or Platform notification.
• Subscriptions renew automatically at the end of each billing cycle unless canceled before the renewal date. The user bears responsibility for managing their subscriptions and setting appropriate reminders.
• Upon subscription cancellation, access to the service continues until the end of the current paid period — no prorated refund is granted for the remaining period.
• If an account is terminated due to violation of these Terms, the right to claim any refund for any paid amounts is forfeited — including active subscriptions and prepaid fees.
• We reserve the right to offer promotional deals and special pricing to specific user categories or during specific periods, without obligation to apply the same prices to all users.
• All payments are subject to the Platform's Refund & Cancellation Policy, which constitutes an integral part of these Terms.

11. Privacy and Data Protection

We are committed to protecting your privacy and processing your personal data in accordance with the highest international standards, including the EU General Data Protection Regulation (GDPR) and applicable local data protection laws. The following provisions apply:

• We collect, use, and store personal data only for legitimate purposes specified in our Privacy Policy.
• Data we collect includes: registration information, profile data, activity and transaction history, device and browser data, IP address, cookies, and analytics data.
• You have the right at any time to: access your personal data, request correction or update, request deletion (right to be forgotten), restrict processing, port your data to another service, or object to processing.

• We will not share your personal data with third parties without your explicit consent, except where required by law or necessary for Platform operations (such as payment and hosting service providers).

• In the event of a security breach affecting your personal data, we will notify you and relevant authorities in accordance with applicable laws.

The Platform uses cookies and similar tracking technologies to enhance your experience and provide personalized services. By continuing to use the Platform, you consent to our use of these technologies in accordance with the following provisions:

• Essential Cookies: Necessary for Platform operation and core functionality such as login and preference retention. Cannot be disabled.
• Analytical Cookies: Help us understand how you interact with the Platform to improve performance and content.
• Marketing Cookies: Used to display relevant content and measure marketing campaign effectiveness.
• You can manage cookie preferences through your browser settings — however, disabling some may affect Platform functionality.

13. Disclaimer and Limitation of Liability

The Platform and all its services and content are provided "as is," "as available," and "with all faults," without any warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Platform will be error-free, uninterrupted, virus-free, or free of harmful components.
• Warranties of accuracy, completeness, timeliness, or reliability of any content or information published on the Platform.
• Warranties that the results of using the Platform will meet your expectations or requirements.
• Warranties of security or safety of data transmitted through or stored on the Platform.

To the maximum extent permitted by applicable law — regardless of the legal theory of the claim (whether contract, tort, or strict liability) — the following limitations apply:

• The Platform, its management, directors, employees, agents, partners, licensors, or contractors bear no liability for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from use of or inability to use the Platform.
• We bear no responsibility for loss of data, profits, revenue, customers, business opportunities, or professional reputation.
• We bear no responsibility for any damages arising from user-generated content or from your interactions with other users.
• We bear no responsibility for any third-party claims against a user arising from that user's violation of these Terms or others' rights.
• Our aggregate maximum liability under any circumstances — regardless of the number of claims — shall not exceed the amount you actually paid to the Platform in the three (3) months immediately preceding the incident giving rise to the claim, or USD 100 — whichever is less.

14. Indemnification

You agree to indemnify, defend, and hold harmless The Gaming Nest and its directors, employees, agents, partners, and contractors from and against any claims, actions, losses, damages, costs, or expenses (including reasonable attorney's fees) arising from or related to:

• Your use of the Platform or any of its services.
• Any content you publish, upload, or share on the Platform.
• Your violation of any provision of these Terms.
• Your violation of any third-party rights, including intellectual property and privacy rights.
• Any illegal or fraudulent activity conducted through your account.
• Your negligence in protecting your account credentials resulting in unauthorized access.
• Your indemnification obligation survives termination of this Agreement or closure of your account.

15. Account Suspension or Termination

We reserve the absolute and unrestricted right to suspend, restrict, or terminate any user account at any time at our sole discretion. The following provisions apply:

• We may temporarily suspend or restrict account access based on suspicion of Terms violation or suspicious activity, pending investigation.
• Grounds for termination include — but are not limited to — violation of these Terms or any other Platform policy, fraud or deception, intellectual property infringement, harassment or abuse of users, intentional damage to the Platform or its infrastructure, or any behavior we deem harmful to the Platform community.
• Upon termination, we may or may not send an official notice to the registered email — at our sole discretion and depending on the nature of the violation.
• Upon account termination: access to all services and paid content is immediately revoked, the right to any refund of paid amounts is forfeited, and we reserve the right to delete or retain user content per our legal and operational requirements.
• Users may appeal termination decisions by submitting a written request to info@thegamingnest.com within fourteen (14) calendar days of the termination date. The final decision on appeals rests exclusively with Platform management and is not subject to further review.
• Provisions that survive termination include: intellectual property rights, content licenses granted, disclaimers, indemnification, governing law, and any other provisions that by their nature should survive.

16. Third-Party Links and Services

The Platform may contain links, integrations, or references to websites, applications, or services owned and operated by third parties. The following provisions apply regarding these external services:

• All external links are provided for informational and convenience purposes only, and do not constitute endorsement, warranty, or recommendation by the Platform for those sites or their services.
• We are not responsible for and have no control over the privacy policies, content, practices, or security of any external website or service.
• Your use of any third-party service is governed solely by that service's terms and privacy policy and is entirely at your own risk.
• We bear no liability for any losses or damages resulting from your dealings with third-party websites or services.
• We strongly advise you to review the terms of use and privacy policy of any external site before providing any personal information or conducting any transaction.

17. Force Majeure

The Platform shall not be liable for any delay, failure, or interruption in service delivery resulting from circumstances beyond its reasonable control ("Force Majeure"), including but not limited to:

• Natural disasters (earthquakes, floods, hurricanes, volcanoes).
• Epidemics, pandemics, and public health emergencies.
• Wars, armed conflicts, terrorism, and civil unrest.
• Strikes, sit-ins, and labor lockouts.
• Government actions, new legislation, sanctions, and trade embargoes.
• Widespread cloud computing, hosting, or internet infrastructure outages.
• Large-scale cyberattacks (DDoS, ransomware) affecting the Platform's systems or service providers.
• Widespread power or telecommunications outages.
• In force majeure situations, the Platform will make reasonable efforts to resume service as soon as possible or provide suitable alternatives.
• The Platform bears no financial or compensatory liability for any losses resulting from force majeure circumstances.

18. Severability and Assignment

• If any provision of these Terms is found to be void or unenforceable under any applicable law, this shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect.
• The void or unenforceable provision shall be replaced by a valid, enforceable provision that achieves the closest purpose to the original provision.
• The Company may assign its rights and obligations under these Terms to any third party — whether an affiliate, successor, or assignee — without requiring user consent.
• The User may not assign their rights or obligations under these Terms to any other party without prior written consent from the Company.
• The Platform's failure to enforce any provision of these Terms at any time shall not constitute a waiver of its right to enforce it subsequently.
• These Terms — together with the Privacy Policy, Refund Policy, and any additional policies published on the Platform — constitute the entire agreement between you and the Company regarding use of the Platform, and supersede all prior agreements and understandings.

19. Terms Updates and Modifications

• We reserve the absolute right to modify, update, or rewrite these Terms in whole or in part at any time without requiring user consent or prior notification.
• Any amendments will be published on the Terms page on the Platform with an updated "Last Updated" date at the top of the page.
• We will make reasonable efforts to notify users of material changes via email or prominent Platform notice — however, failure to notify does not affect the validity of the amendments.
• Your continued use of the Platform after any amendment is published — whether or not you reviewed the amendment — constitutes automatic and unconditional acceptance of the updated version.
• The "Last Updated" date always indicates the current effective version of the Terms.
• It is the User's sole responsibility to review these Terms periodically and regularly before each use of the Platform.
• The version published on the Platform's website represents the official, authoritative, and sole enforceable version at all times.

20. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, regardless of any conflict of law provisions. The following provisions apply to any dispute arising from or related to these Terms or use of the Platform:

• All parties are encouraged to first seek amicable and direct resolution of any disagreement by contacting info@thegamingnest.com.
• If amicable settlement is not achieved within thirty (30) calendar days from the date of sending the dispute notice, either party may resort to litigation.
• The competent courts in the Kingdom of Saudi Arabia shall have exclusive jurisdiction to adjudicate any dispute arising from these Terms.
• You expressly and irrevocably consent to the jurisdiction of these courts and waive any objection to venue or inconvenience.
• Any claim or legal demand not filed within one (1) year of the date of the incident giving rise to the claim shall be permanently and irrevocably barred.
• The provisions of the Saudi E-Commerce Law and Electronic Transactions Law apply to all electronic transactions through the Platform.
• In the event of any conflict between the Arabic and English versions of these Terms, the Arabic version shall prevail.

21. Game Jams and Limitation of Platform Liability

The Platform allows any user to organize and host a game jam. A jam that does not carry the official The Gaming Nest sponsorship marker is organized by an independent user, and the Platform is not a party to it in any capacity.

• The Gaming Nest is not the organizer of any non-sponsored jam and bears no responsibility for it — legal, financial, or contractual.
• Prizes, deadlines, judging, results announcements, and any promises or commitments made to participants are the sole responsibility of the organizer. The Platform does not guarantee the delivery of any prize, the integrity of any judging process, or the organizer's adherence to announced dates.
• Any dispute arising between participants and an organizer is to be resolved directly between them. The Platform does not act as mediator or arbitrator and bears no consequences arising from such a dispute.
• The Platform's provision of organizing, registration, and rating tools does not constitute endorsement, warranty, or sponsorship of any jam or any organizer.
• Official sponsorship is established only by an explicit marker applied to the jam by The Gaming Nest management; the absence of that marker means the jam is not sponsored.
• The Platform reserves the right to remove or suspend any jam that violates these Terms, without this creating any obligation toward participants or the organizer.
